Welcome to BidCobra.com (“BidCobra”, "Bid Cobra", “we”, “us”, or “our”). These Terms of Service (“Terms”) govern your use of our website located at www.BidCobra.com (“Site”) and any related services, applications, or features (collectively, the “Services”). BY ACCEPTING THE TERMS OF THIS AGREEMENT, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, and that you have the authority to enter into this Agreement on behalf of yourself or the entity you represent.

1. Eligibility

You must be at least 18 years old to use Bid Cobra. By using our Services, you represent and warrant that you are of legal age and have the authority to enter into this agreement.

2. Account Registration

To access certain features of our Services, you must register for an account. You agree to:

  • Provide accurate, current, and complete information.
  • Keep your login credentials secure.
  • Notify us immediately of any unauthorized use of your account.
  • Operating an account under an alias name is forbidden and will result in the termination of your account.
  • We reserve the right to approve or reject any account application at our sole discretion.
  • Access to the Service is not guaranteed and may be denied without explanation.

You are responsible for all activities that occur under your account.

3. Free Trials

We may, at our sole discretion, offer free trial periods for the Service or specific Subscription Plans ("Free Trials").

Free Trials are provided for a limited time and are subject to these Terms of Service.

The availability, duration, features, eligibility requirements, and any other terms of a Free Trial are determined solely by BidCobra and may vary by user, plan, promotion, or at any time. We reserve the right to make any Free Trial as long or as short as we deem appropriate, to modify its length, features, or conditions, or to withdraw or terminate any Free Trial entirely, at our sole discretion and without prior notice or liability.

Free Trials are provided "AS IS" and "AS AVAILABLE," without any warranties of any kind, including guarantees of duration, functionality, performance, or continuation.

We may limit, suspend, or terminate your Free Trial access at any time for any reason, including suspected abuse, violation of these Terms, or at our sole discretion.

4. Subscription and Payment

BidCobra is a subscription-based service. By subscribing, you agree to:

  • Pay all applicable fees associated with your plan.
  • Allow recurring billing unless you cancel before the next billing cycle.
  • Provide accurate payment information.

We may change our pricing at any time with notice. Changes will apply to your next billing cycle.

5. Use of Services

You may use BidCobra solely for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Services for any illegal or unauthorized purpose.
  • Scrape, crawl, or otherwise harvest data from the Site without permission.
  • Attempt to reverse-engineer or interfere with our technology or security features.

6. Content and Data

BidCobra aggregates and curates public and third-party construction bidding information. While we strive for accuracy, we do not guarantee:

  • Completeness, accuracy, or timeliness of bidding information.
  • Availability of specific opportunities.
  • Success in obtaining contracts or jobs.

Your use of this data is at your own risk.

7. Intellectual Property

All content on BidCobra, including text, logos, graphics, databases, and software, is the property of BidCobra or its licensors and is protected by intellectual property laws. You may not use, reproduce, distribute, or create derivative works without our prior written consent.

8. Termination

We may suspend or terminate your access to the Services at our discretion, including for:

  • Violation of these Terms.
  • Non-payment.
  • Fraudulent or abusive behavior.

You may cancel your subscription at any time from your account dashboard. No refunds will be provided for partial billing periods.

9. Disclaimers

The Services are provided “AS IS” and “AS AVAILABLE.”

We disclaim all warranties, express or implied, including:

  • Fitness for a particular purpose.
  • Non-infringement.
  • Accuracy, timeliness, secure, or reliability of data.

We do not guarantee uninterrupted or error-free service. You agree that the use of this Service is at your own risk.

10. Limitation of Liability

To the fullest extent permitted by applicable law, BidCobra and its affiliates, officers, directors, employees, agents, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business opportunities, goodwill, or other intangible losses, whether incurred directly or indirectly, and whether based on contract, tort (including negligence), strict liability, or any other legal theory, arising out of or in connection with:

  • Your access to or use of, or inability to access or use, the Services;
  • Any conduct or content of any third party on the Services, including without limitation, any defamatory, offensive, or illegal conduct;
  • Any content obtained from the Services;
  • Unauthorized access, use, or alteration of your transmissions or content;
  • Any delays, interruptions, or errors in the operation of the Services;
  • Any issues related to billing, payment processing, refunds, or unauthorized transactions.

BidCobra uses a third-party payment processor to handle credit card and other payment transactions. By using the Services, you agree that BidCobra is not responsible for any actions, errors, delays, or security breaches on the part of such third-party processors, and that any claims related to payment processing should be directed to the applicable third-party provider.

In no event shall BidCobra's total aggregate liability for all claims related to the Services exceed the total amount paid by you to BidCobra in the six (6) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you. In such cases, BidCobra's liability shall be limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless BidCobra, its affiliates, officers, directors, employees, agents, licensors, partners, and service providers (collectively, the "BidCobra Parties") from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees and legal costs, arising out of or in any way connected with:

  • Your access to or use of the Services;
  • Your violation of these Terms of Service or any applicable law or regulation;
  • Your infringement or misappropriation of any intellectual property or other rights of a third party;
  • Any content or information you submit, upload, or transmit through the Services;
  • Any business or contractual relationship you enter into as a result of information obtained through BidCobra, including but not limited to bidding on or accepting construction projects.

12. Governing Law; Jurisdiction; Dispute Resolution

These Terms of Service and any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or your use of BidCobra.com (collectively, "Disputes"), whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles.

You agree that all Disputes that are not resolved informally shall be resolved exclusively through final and binding arbitration, rather than in court, except that either party may bring a claim in small claims court in Dallas County, Texas, if eligible. This agreement to arbitrate is intended to be broadly interpreted and includes claims that arose before these Terms became effective.

The arbitration shall be conducted in Dallas County, Texas, under the rules of the American Arbitration Association (AAA) then in effect, using a single arbitrator. The arbitrator shall have the exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement.

Class Action Waiver

You and BidCobra agree that any arbitration shall be conducted only on an individual basis and not as a class, consolidated, or representative action. You expressly waive any right to file or participate in a class action or seek relief on a class or representative basis.

If a court or arbitrator determines that the class action waiver in this section is unenforceable as to any Dispute, then the arbitration agreement shall be null and void as to that Dispute, and the Dispute must be brought in the appropriate court in Governing Law; Jurisdiction; Dispute Resolution

Injunctive Relief

Notwithstanding the foregoing, either party may seek equitable relief in a court to prevent actual or threatened infringement, misappropriation, or violation of its intellectual property rights, or to enforce confidentiality obligations.

Time Limit to File Claims

To the fullest extent permitted by applicable law, you agree that any claim or cause of action you may have arising out of or related to these Terms or your use of the Services must be filed within one (1) year after the event giving rise to the claim occurred, or such claim or cause of action is permanently barred.

13. Changes to Terms

We may update these Terms at any time. We may notify you of any material changes via the Site or email. Continued use of the Services after changes indicates your acceptance. Updated or revised Terms will be effective immediately, for all new users.
